Job Description Summary

We are looking for a dynamic and skilled corporate and transactions attorney to help draft, review and negotiate a wide array of contracts for the company across various business areas, including clinical, commercial, CMC, and research. They will need a good understanding of the pharmaceutical industry and related legal issues, as well as outstanding drafting and negotiation skills. The ideal candidate should be able to effectively counsel and collaborate with various internal business partners. This role will report to the Director, Corporate Counsel.

Your Responsibilities

  • Review, draft, and negotiate contracts relating to the company's business needs, such as confidentiality agreements, services agreements, distribution agreements, lease agreements, manufacturing and supply agreements, global clinical trial agreements, commercial agreements, marketing agreements and consulting agreements.
  • Provide legal advice to internal teams on contract matters, including transaction structuring, contract interpretation and enforcement, risk assessment, legal and regulatory compliance, and corporate policies.
  • Coordinate and assist in developing policies, procedures, and systems to support and facilitate efficient contract development and analysis.
  • Keep abreast of current case law and trends.
  • Perform other duties as needed or assigned.

What is Required

  • Juris Doctorate degree from an ABA accredited law school.
  • Active member of the California State Bar or qualified as Registered In-house Counsel.
  • Three to five years of transactions experience in a law firm and/or in-house legal department.
  • Pharmaceutical industry experience; familiarity with clinical trial agreements and related documentation a plus.
  • Knowledge of securities, contract, commercial and general business laws, and regulations.
  • Excellent contract drafting and negotiation skills.
  • Ability to gain trust at, and work with, all levels of an organization.
  • High level of ethics and integrity with the ability to maintain the protection of proprietary and confidential information.
  • Resourceful, solutions-oriented team player with the ability to collaborate with other team members on challenging projects.
  • Self-directed, self-motivated, and detail-oriented nature; willing to proactively assume responsibility for and consistently follow through on assignments.
  • Good judgment and ability to operate in a fast-paced, small legal department on a broad range of legal matters.
  • Role will be based at Company HQ in San Diego and requires COVID-19 vaccination or weekly negative COVID-19 test results.
